## 1. Introduction and Acceptance

These Terms of Service (the "Terms") govern your access to and use of USDPAY, an automation and verification service that enables businesses ("Merchants") to accept cryptocurrency (USDT) payments directly from their customers. By registering an account, clicking "I Agree," or using the Platform, you agree to these Terms and to our Acceptable Use Policy and Privacy Policy, which are incorporated by reference. If you do not agree, do not use the Platform.

You represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent.

## 2. Definitions

- **Platform / Services** — the software, dashboard, payment widget, API, and blockchain-verification services provided by USDPAY.
- **Merchant** — a business or individual that registers to use the Platform to accept USDT payments.
- **Customer** — an end user who pays a Merchant.
- **Wallet** — a blockchain address controlled by the Merchant, used to receive payments.
- **Invoice** — a payment request generated through the Platform.
- **USDT** — the Tether stablecoin, as issued on supported networks (e.g., BEP20, TON, TRC20).
- **Supported Networks** — the blockchain networks the Platform currently supports, as listed in the dashboard.

## 3. Nature of the Service — Non-Custodial

3.1 USDPAY is a **non-custodial** software and verification service. We **do not** receive, hold, custody, control, transmit, or convert Customer or Merchant funds at any time.

3.2 All payments flow **directly** from the Customer's wallet to the Merchant's own Wallet. The Platform only observes the relevant blockchain to confirm whether a payment matching an Invoice has occurred, and reports that confirmation to the Merchant.

3.3 USDPAY is **not**: a bank, a money services business or money transmitter, a payment processor that holds funds, a cryptocurrency exchange, a custodian, a wallet provider, or a financial or investment adviser. We do not provide financial services.

3.4 We never request, collect, or store private keys, seed phrases, or any credential that grants access to funds. Merchants remain solely responsible for the security and control of their own Wallets.

3.5 Because the Platform does not control funds, it **cannot** freeze, reverse, refund, or recover any payment. All blockchain transactions are final and irreversible once confirmed on-chain.

## 4. Eligibility and Account Registration

4.1 To use the Platform, you must register an account, provide accurate business information, select a business category, accept these Terms and the Acceptable Use Policy, and designate a valid Wallet address.

4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4.3 We may approve, reject, suspend, or place any account under review at our discretion, including where your business category requires manual review under the Acceptable Use Policy.

## 5. Merchant Responsibilities

By using the Platform, the Merchant agrees and is solely responsible for the following:

5.1 **Legality of accepting crypto.** The Merchant confirms that accepting cryptocurrency payments is lawful in the Merchant's jurisdiction and in the jurisdictions of the Merchant's Customers. This determination is the Merchant's responsibility, not USDPAY's.

5.2 **Its own business activity.** The Merchant is solely responsible for obtaining any licenses, permits, or registrations required for the Merchant's own goods, services, or business activity.

5.3 **Taxes.** The Merchant is solely responsible for calculating, reporting, and paying all taxes arising from its activity. USDPAY is not a tax withholding or collection agent.

5.4 **Goods and services.** The Merchant provides its goods or services directly to Customers. The Platform is not a party to, and bears no responsibility for, the underlying transaction between Merchant and Customer.

5.5 **Accurate Wallet.** The Merchant is responsible for entering and maintaining a correct Wallet address. USDPAY is not liable for funds sent to an incorrect address provided by the Merchant.

5.6 **Compliance with the Acceptable Use Policy.** The Merchant will use the Platform only for permitted categories of activity and will not use it for restricted activity without approval or for prohibited activity at all.

5.7 **Customer disclosure.** The Merchant is responsible for accurately informing its Customers about pricing, payment terms, and refund policies.

## 6. Wallets

6.1 The Merchant designates one or more Wallet addresses to receive payments. The Merchant may add or remove Wallets through the dashboard, subject to there being no active pending Invoices tied to a Wallet being removed.

6.2 The Platform validates the format of a Wallet address but does not and cannot verify that the Merchant lawfully controls it beyond any optional ownership check offered in the dashboard.

6.3 The Merchant bears all risk associated with its Wallets, including loss of keys, compromise, or misdirected funds.

## 7. Fees and Billing

7.1 USDPAY offers a free tier and one or more paid subscription tiers, plus optional paid add-on features. Applicable fees are displayed in the dashboard before you subscribe or enable a feature.

7.2 **Subscription fees** for paid tiers are charged in advance for the applicable billing period and are non-refundable except where required by law.

7.3 **Percentage / volume fees**, where applicable, are calculated on the Merchant's confirmed payment volume and billed via a monthly reconciliation statement. The Merchant agrees to pay the reconciled amount by the due date shown.

7.4 **Add-on fees** (e.g., AML screening) are charged per use or per period as displayed.

7.5 Fees payable to USDPAY are separate from, and never deducted from, the payment flow between Customer and Merchant. Platform fees are settled directly between the Merchant and USDPAY.

7.6 We may change fees prospectively on reasonable notice. Continued use after the effective date constitutes acceptance.

## 8. AML / Screening Add-On

8.1 If enabled, the screening add-on returns **information only** — a risk score or flag regarding an incoming address — to the Merchant. It is a data service.

8.2 USDPAY does **not** make, and is not responsible for, any decision to accept, reject, hold, or return a payment. Any such decision and any resulting action rests entirely with the Merchant, who controls the funds.

8.3 Screening data is provided "as-is," is sourced from third-party providers, and is not a guarantee regarding the legitimacy of any address or transaction.

## 9. Acceptable Use

Your use of the Platform is subject to the Acceptable Use Policy, which categorizes permitted, restricted (review-required), and prohibited activities. Violation of the Acceptable Use Policy is a material breach of these Terms and may result in immediate suspension or termination.

## 10. Suspension and Termination

10.1 We may suspend or terminate your account, with or without notice, if you breach these Terms or the Acceptable Use Policy, provide false information, use the Platform for restricted activity without approval or for prohibited activity, or create legal or reputational risk to USDPAY.

10.2 You may terminate your account at any time through the dashboard. Fees already accrued or prepaid are non-refundable except where required by law.

10.3 Termination does not relieve the Merchant of obligations to pay outstanding reconciled fees.

## 11. Intellectual Property

11.1 The Platform, including all software, designs, trademarks, and materials, is and remains the property of PIXELTIDE LLC or its licensors. We grant the Merchant a limited, non-exclusive, non-transferable, revocable license to use the Platform and any provided branding solely for participation during the term.

11.2 You may not copy, modify, reverse-engineer, resell, or create derivative works of the Platform except as permitted by law.

## 12. Disclaimers

12.1 THE PLATFORM IS PROVIDED "AS-IS" AND "AS-AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 We do not warrant that the Platform will be uninterrupted, error-free, or that blockchain confirmations will always be timely or accurate. Blockchain networks are operated by third parties outside our control.

12.3 We are not responsible for: the quality, legality, or delivery of Merchant goods or services; blockchain delays, forks, congestion, or failures; price volatility of any digital asset; misdirected funds due to incorrect address entry; third-party service or network outages; or force majeure events.

## 13. Limitation of Liability

13.1 To the maximum extent permitted by law, in no event will USDPAY or PIXELTIDE LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or digital assets.

13.2 Our total aggregate liability arising out of or relating to the Platform will not exceed the total fees paid by the Merchant to USDPAY in the three (3) months preceding the event giving rise to the claim.

13.3 Because the Platform never controls funds, we have no liability for any loss of funds in any payment between Customer and Merchant.

## 14. Indemnification

The Merchant agrees to indemnify, defend, and hold harmless USDPAY, PIXELTIDE LLC, and their officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: the Merchant's use of the Platform; the Merchant's goods, services, or business activity; the Merchant's breach of these Terms or the Acceptable Use Policy; the Merchant's violation of any law or of any third party's rights; and any dispute between the Merchant and a Customer.

## 15. Data and Privacy

Our collection and use of information is described in the Privacy Policy. We collect minimal operational data, do not collect private keys or seed phrases, and process personal data in accordance with applicable data-protection law.

## 16. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date reflects the latest revision. Material changes will be notified through the Platform or by email. Continued use after changes take effect constitutes acceptance.

## 17. Governing Law and Dispute Resolution

17.1 These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles.

17.2 Any dispute arising out of or relating to these Terms or the Platform will be resolved by the state or federal courts located in Orange County, California, and you consent to their exclusive jurisdiction, to the extent permitted by law.

## 18. Miscellaneous

- **Severability:** If any provision is held invalid, the remainder stays in effect.
- **Assignment:** You may not assign these Terms without our consent; we may assign to an affiliate or successor.
- **No Waiver:** Our failure to enforce any provision is not a waiver.
- **Entire Agreement:** These Terms, the Acceptable Use Policy, and the Privacy Policy constitute the entire agreement and supersede prior communications.
- **Notices:** We may send notices to your registered email; you contact us at support@usdpay.me.
- **No agency:** Nothing here creates a partnership, agency, or employment relationship between you and USDPAY.
